1. Agreement to Terms

By accessing or using Flick AI's accounting software and services ("Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Definitions

• "Company," "We," "Us," or "Our" refers to Flick AI Technologies Pvt Ltd.
• "Service" refers to the Flick AI accounting software, website, and related services.
• "User," "You," or "Your" refers to the individual or entity accessing or using the Service.
• "Data" refers to all financial information, documents, and content uploaded by you.

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Services. By registering, you warrant that all information provided is accurate and current.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use of your account. Flick AI represents that we employ industry-standard security measures but cannot guarantee absolute security.

4. Subscription and Payments

4.1 Free Trial

We offer a 14-day free trial with full access to features. No credit card is required. At the end of the trial, you must subscribe to a paid plan to continue using the Services.

4.2 Billing

Subscription fees are billed in advance on a monthly or annual basis. All payments are non-refundable unless otherwise required by law or within the 14-day money-back guarantee period.

4.3 Taxes

Fees are exclusive of applicable taxes (GST). You are responsible for paying all taxes associated with your subscription.

4.4 Plan Changes

You may upgrade or downgrade your subscription at any time. Upgrades are effective immediately with prorated charges. Downgrades take effect at the start of the next billing cycle.

4.5 Refund Policy

We offer a 14-day money-back guarantee for all new subscriptions. Refund requests after this period will be evaluated on a case-by-case basis.

5. Data Privacy and Security

5.1 Data Ownership

You retain all rights to the data you upload. We claim no ownership over your financial data.

5.2 Data Usage

We use your data solely to provide and improve our Services. We do not sell your data to third parties. We may use aggregated, anonymized data for analytical purposes.

5.3 Security

We implement bank-grade encryption (AES-256) and security protocols to protect your data. However, you acknowledge that no method of transmission over the internet is 100% secure.

5.4 Data Retention

We retain your data for the duration of your subscription and for a reasonable period thereafter. You may request data deletion at any time, subject to legal requirements.

6. Acceptable Use

6.1 Permitted Use

You agree to use the Service only for lawful business accounting purposes, including:

• Bookkeeping and transaction recording
• GST and tax compliance
• Financial reporting and analysis
• Audit preparation and documentation
• Business performance monitoring

6.2 Prohibited Uses

You may not use our Services to:

• Violate any applicable laws or regulations
• Upload false, misleading, or fraudulent financial information
• Attempt to reverse engineer or hack our platform
• Share account credentials with unauthorized parties
• Use the platform for money laundering or illegal financial activities
• Infringe on any third-party intellectual property rights
• Contain malicious software or harmful code

7. Intellectual Property Rights

Flick AI and all related software, algorithms, technology, trademarks, and intellectual property remain our exclusive property. This includes AI algorithms, machine learning models, software code, UI designs, documentation, and branding materials.

We grant you a limited, non-exclusive, non-transferable license to use our Services during your subscription period, subject to these Terms.

By uploading content to our platform, you warrant that you have the right to upload and use such content, the content does not infringe on third-party rights, and you grant us necessary rights to process and store the content for service delivery.

8. Third-Party Integrations

Our Services may integrate with banking institutions for automated transaction downloads, account balance verification, payment processing and reconciliation. You authorize us to access your banking information as necessary for these integrations, subject to bank terms and conditions.

We may also integrate with government systems for GST return filing, TDS certificate verification, and regulatory compliance checking.

We are not responsible for third-party service availability or performance, changes to third-party APIs, data security practices of integrated services, or fees charged by third-party providers.

9. Disclaimers and Limitation of Liability

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. While our AI algorithms strive for high accuracy, we do not guarantee 100% accuracy in transaction categorization or error-free calculations. Flick AI provides software tools, not professional accounting or legal advice. Users should consult qualified professionals for complex matters and verify AI-generated results before making business decisions.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES, DATA LOSS OR CORRUPTION, BUSINESS INTERRUPTION, OR THIRD-PARTY CLAIMS.

10. Indemnification

You agree to indemnify, defend, and hold harmless Flick AI, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our Services, violation of these Terms, infringement of third-party rights, inaccurate or misleading information provided by you, or your business activities based on our Services.

11. Termination

By You: You may terminate your account at any time by canceling your subscription through the platform or contacting our customer support.

By Us: We may terminate your account for material breach of these Terms, non-payment of fees, fraudulent or illegal activities, or extended periods of inactivity.

Upon termination, your access to Services will cease immediately, data will be retained per our retention policy, and outstanding fees remain due and payable.

12. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, government actions, internet service provider failures, cyber attacks, pandemic or health emergencies, and labor disputes.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of India, including The Indian Contract Act, 1872, The Information Technology Act, 2000, and The Companies Act, 2013.

Dispute Resolution: Parties will attempt good faith negotiation for 30 days, followed by mediation, then binding arbitration under the Arbitration and Conciliation Act, 2015, with proceedings in Bangalore, India. For matters not subject to arbitration, the courts of Bangalore shall have exclusive jurisdiction.

14. General Provisions

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Flick AI. If any provision is found unenforceable, the remaining provisions continue in full force. Our failure to enforce any provision does not constitute a waiver. You may not assign your rights without our written consent. We may modify these Terms at any time with 30 days' advance notice for material changes.
